These Terms of Use (“Terms”) are an agreement between you and Tensor Research Group (“Tensor Research,” “we,” “us”). Please read them carefully: they limit our liability, they explain the risks of the tools we provide, and they describe what you may and may not do with them.
These Terms govern your access to and use of our website at tenrs.com, our members' platform at app.tenrs.com and the programming interfaces it provides, and our desktop software, Omega Terminal (together, the “Services”). By accessing or using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. Some features may come with additional terms, which are shown before you turn them on and form part of these Terms.
Access to the platform and the desktop software is by invitation only. You may use them only if Tensor Research has admitted you, you are at least 18 years old, and you are able to form a binding contract. Your access is personal to you. We may decline, pause, limit or revoke access at any time.
Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable license to use the Services, and to install and run the desktop software on devices you own or control, solely for your own use. The desktop software may update itself automatically, and some features may require the current version. All rights not expressly granted are reserved.
You agree not to:
Market data in the Services comes from exchanges, brokerages and other third parties and is subject to their terms, including restrictions on redistribution. It is provided for your own use only and may be delayed, incomplete or wrong.
When you connect a brokerage or data account, you authorize us to access it and act on it as you instruct or authorize, and you remain bound by that provider's agreements. We do not control third-party services and are not responsible for their availability, accuracy, actions or omissions.
The Services provide software, data and analytical tools. Nothing in them — including levels, signals, models, backtests, research or anything an AI feature says — is investment, financial, tax or legal advice, a recommendation, or an offer or solicitation to buy or sell any security or derivative. Tensor Research is not acting as your broker, dealer, investment adviser or fiduciary. You alone decide whether and how to trade, and you are responsible for those decisions. Past performance, including backtested or simulated results, does not indicate future results.
You may let a strategy place orders on your own brokerage account. By doing so you accept all of the following, which the software also states before it will let anyone turn approval off:
You keep ownership of the strategies, settings and other material you create in the Services (“Your Content”). You grant us a limited license to host, store, process and display Your Content only as needed to operate the Services for you. You are responsible for Your Content and confirm you have the right to use it. We may remove content that breaks these Terms.
The Services — including the software, models, methodology, data compilations, designs and the Tensor Research and Omega Terminal names and marks — belong to Tensor Research or its licensors and are protected by law. The Services and any non-public information you receive through them, including our methodology, models, levels and data, are confidential: do not disclose them to anyone without our written permission. If you send us feedback, we may use it without obligation to you.
If your access is subject to fees, they are agreed with you separately. We may introduce or change fees for the Services with advance notice, and you can stop using the Services before any change applies to you.
We may pause, suspend or end your access to all or part of the Services at any time, with or without notice — for example to protect the Services or other members, if you break these Terms, or if we stop offering a feature. You may stop using the Services at any time. When access ends, your license ends, the desktop software may stop working and may remove the credentials it holds on your device, and the sections of these Terms that by their nature should survive — including those on confidentiality, disclaimers, liability, indemnification and disputes — survive.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT THE LAW ALLOWS, TENSOR RESEARCH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES OR ANY DATA WILL BE ACCURATE, TIMELY, UNINTERRUPTED, SECURE OR ERROR-FREE.
TO THE FULLEST EXTENT THE LAW ALLOWS, TENSOR RESEARCH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED U.S. DOLLARS. Some jurisdictions do not allow certain of these limits, so they may not all apply to you.
You will defend, indemnify and hold harmless Tensor Research and its owners, officers and contractors from any claims, losses and expenses, including reasonable legal fees, arising from your use of the Services, your trading, Your Content, or your breach of these Terms or of any law.
These Terms are governed by the laws of the United States and of the state in which Tensor Research Group is organized, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Services will be brought only in the state or federal courts located in that state, and you consent to their jurisdiction. Before bringing a claim, please contact us so we can try to resolve it informally.
We may change the Services or these Terms. The date at the top shows when the Terms last changed. If a change is material, we will tell you through the Services or by email before it takes effect. Continuing to use the Services after a change takes effect means you accept it.
These Terms, with the Privacy Policy and any feature terms, are the entire agreement between you and us about the Services. If any provision is unenforceable, the rest remain in effect. Our not enforcing a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. You must comply with applicable export control and sanctions laws.
